| GENERAL DESCRIPTION OF ASSIGNMENT:
|
1. Authorisation.
The above-named client is engaging Chanda Dobriyal a freelance web designer, for developing a World Wide website to be installed on the client's web space on a web hosting service's computer. The client hereby authorizes dristi.net.in to access this account, and authorizes the web hosting service to provide dristi.net.in with "write permission" for the client's webpage directory, and any other directories or programs which need to be accessed for this project. The client also authorizes dristi.net.in to publicize their completed website to Web search engines, as well as other Web directories and indexes.
2. Standard Website Package Elements.
Dristi.net.in includes the following elements in their Standard Website Packages:
- Custom Graphics Package: Top-of-page graphic banner for all other pages in your website (flash or non flash depending on your requirement). Matched html or .css navigation menu, footer with plain anchored text links to possibly all first level web pages, with or without textured background.
- Words of text supplied by the client preferably in Word document. Please submit the final text and not the draft since it takes time to format and place on the webpage.
- Photos and other graphic images: supplied by client preferably in high resolution .jpg or any other format.
- Feedback Form: Once feed back form will be set up using .asp (In case of clients having their own hosting services the code used by their service providers will be the responsibility of the clients to provide the client used by their service providers).
- Site Map: A detailed sitemap will be prepared and the links will be provided from each webpage from footer text links.
- Uploading of web pages: on the client's web hosting space, along with a test run for a period of 14 days. During the time a webpage speed test, keyword density analysis, and other SEO parameters will be carried out for the home page. The images will be optimized along with with any content modification.
- Site submission to Search Engines: Web pages will be optimized and submitted to at least a dozen major free Web search engines, such as Yahoo, Google, MSN, etc.. For Google a google sitemap will be prepared and placed on your server along with it's submission from my webmasters account.
3. Completion Date
Dristi.net.in and the client must work together to complete the website as per the scope of work in a timely manner. If the client does not supply dristi.net.in complete text and graphics content for all the webpage's contracted for within six weeks of the date this contract was signed, an additional continuation fee of 10% of the total contract price will also be assessed each month until the website is functional. In case of delay for more than four weeks than given in Scope of Work from the part of dristi.net.in we will deduct a 10% of the total contract price from the final payment towards web development.
4. Payment of Fees.
I as a freelance web designer to remain in business, payments must be made promptly Fees to Dristi.net.in are due and payable on the following schedule:
1. An advance amounting to 50% of total cost upon signing this contract.
2. 25% of the total cost when the web pages have been constructed according to the client's original written specification and are ready to be uploaded for test run on the server either by Dristi.net.in or the client.
3. Balance 25% after 14 days from the day when web pages was handed over / uploaded to server. The optimized web pages for search engine, along with test report of functional web page along with source code shall be presented on CD media or attached to an e-mail message.
4. Advertising the pages to Web search engines and updating occur only after the final payment is made if the SEO has been agreed to.
5. Copyrights and Trademarks
The client represents to Dristi.net.in and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to us for inclusion in webpage's are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Dristi.net.in from any claim or suit arising from the use of such elements furnished by the client.
6. Copyright to Webpage and Design
Copyright to the finished assembled work of webpage's produced by Dristi.net.in is owned by Dristi.net.in. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Dristi.net.in retains the right to display graphics and other Web design elements as examples of their work in their respective portfolios.
7. Confidential Information
Dristi.net.in acknowledges and agrees that the source materials, technical and marketing plans or other sensitive business information, as specified by the Client, including all materials containing such information, which are supplied by the Client to dristi.net.in or developed by dristi.net.in in the course of developing the site are to be considered confidential information and under no circumstances will be made available to any other source. Dristi.net.in shall provide the Client with all copies and originals of the source materials provided to dristi.net.in by the Client.
8. Progress Reports
Dristi.net.in shall contact or meet with the Client on a mutually acceptable schedule to report all tasks completed, problems encountered, and recommended changes relating to the development and testing of the site. Dristi.net.in shall inform the Client promptly by telephone or e-mail upon discovery of any event or problem that may delay the submission of any milestones deliverables by more than two calendar days. The functional web pages will also be made available on our testing server once a definite framework have been attained so that you could analyze during the development phase for any mi course correction.
